1. Overview
These Terms & Conditions (“Terms”) apply to the CicloZone Studio platform, including the CicloStudio scheduler, the CicloHub/CicloStudio Android app, the Class Builder, and any related services provided by CICLOZONE LIMITED (“CicloZone”, “we”, “our”). By creating an account or using CicloZone Studio, you (“the Studio”) agree to these Terms.
These Terms apply globally unless local laws require otherwise.

2. Definitions
Studio Account: The primary B2B account registered by a gym, cycling studio, or fitness facility.
Each Studio Account represents one physical location (one indoor cycling studio).
Account login details must not be shared. Instructors and staff can be added through the invitation system.
The Studio is responsible for all activity under its account.
Studios may invite instructors and managers at no additional cost.
Instructors / Members: Users invited by the Studio with assigned permissions.
Riders: Individuals who attend classes in the Studio’s facility and may use CicloZone features under a separate Rider agreement.
Bikes / Devices: Indoor cycling bikes connected or synced to the platform.

3. Free Trial
New Studio Accounts receive a 30‑day free trial with unlimited bike connections.
When the trial ends, the subscription begins automatically based on the number of bikes provided during registration. If no number is entered, the Studio will be prompted to enter one before continuing. If no information is provided, a subscription for 3 bikes begins by default.
If payment is missing, access to CicloStudio becomes unavailable until the invoice is paid. The account itself is not deleted.
Studios may cancel their subscription at any time during the 30‑day trial and will not be billed. If cancelled before the trial ends, the Studio will not transition into a paid plan.

4. Subscription Plans & Billing
UK Pricing
For customers located in the United Kingdom, the following prices apply and are exclusive of VAT. VAT will be added to invoices at the applicable rate.

• Base Subscription: £59 per month + VAT (includes 3 bikes)
• Additional Bikes: £8 per bike per month + VAT
• Unlimited Plan: £298 per month + VAT

Fixed Pricing for EUR and USD
For customers billed in EUR or USD, CicloZone offers fixed monthly pricing as follows. No UK VAT is charged to non-UK customers.

Base Subscription: €67.00 / $77.00
Additional Bike: €9.00 / $10.00
Unlimited Plan: €339.00 / $390.00

Other Currencies
For customers billed in currencies other than GBP, EUR, or USD, prices are calculated based on the GBP price and converted using the applicable exchange rate on the date of invoicing or payment. The exchange rate applied at the time of invoicing or payment shall be final.

Tax Treatment (Non-UK Customers)
Customers located outside the United Kingdom are not charged UK VAT by CicloZone. Where required by local tax laws, customers may be responsible for accounting for VAT, GST, sales tax, or similar taxes in their own jurisdiction under the reverse-charge or equivalent mechanism. Such taxes do not appear on CicloZone invoices.

5. Platform Use
CicloZone Studio provides access to:
• scheduling dashboard
• CicloHub / CicloStudio Android display app (QR-linked)
• Class Builder tool
• user roles and permissions

The Studio is responsible for all custom content created in Class Builder, including music licensing, coaching instructions, and compliance with copyright laws. CicloZone does not review or approve Studio content.

Studios may not:
• use one subscription for multiple physical locations
• resell or share access outside their organisation
• bypass device limits or subscription rules

6. Acceptable Use
Studios agree not to:
• reverse‑engineer, copy, or tamper with CicloZone software
• bypass subscription or bike-count limits
• upload harmful, illegal, or copyrighted content without rights
• interfere with service security or functionality

7. Intellectual Property
All software, designs, and platform materials remain the property of CICLOZONE LIMITED.
Studios receive a licence to use the platform, not ownership of it.
Classes created using Class Builder remain the Studio’s responsibility and ownership.

8. Service Availability & Liability
“As Is” Disclaimer:
CicloZone Studio is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted uptime or error‑free operation.
Health & Safety:
CicloZone is not responsible for injuries, accidents, or coaching-related issues that occur within the Studio. The Studio is fully responsible for the safe operation of its indoor cycling environment.
Limitation of Liability:
To the maximum extent permitted by law, CicloZone’s total liability for any claim is limited to the fees paid by the Studio in the 30 days immediately before the event giving rise to the claim, regardless of whether the Studio is on a monthly or annual plan.

9. Changes to the Service and Agreement
CicloZone operates on both monthly rolling subscriptions and annual prepaid subscriptions, depending on the plan selected by the Customer.

Monthly Subscriptions
Each billing month constitutes a separate contractual period (“Contract Month”). At the end of each Contract Month, the subscription will automatically renew for a further month unless cancelled before the renewal date.

CicloZone may update, modify, or replace these Terms — including pricing, features, or available functionality — prior to the start of any new Contract Month. Updated Terms take effect from the beginning of the next Contract Month and will be deemed accepted through the Customer’s continued use of the Service. Where changes materially affect pricing or core functionality, CicloZone will provide reasonable notice before the next Contract Month begins.

CicloZone is not obligated to maintain or continue any specific features, functionality, or integrations within the Service and may modify, discontinue, or replace any part of the Service at its discretion. This flexibility applies only to monthly rolling subscriptions.

Annual Subscriptions
For Customers on annual prepaid subscriptions, the price, features, and functionality available at the time of purchase will remain fixed for the duration of the prepaid annual term. CicloZone will not increase pricing or remove existing features during the active annual period. Any updates, modifications, or removals of features will apply only after the end of the current prepaid annual term, unless the Customer chooses to adopt updated Terms earlier.

At the end of the annual prepaid period, the subscription will automatically renew for a further year at the then-current pricing and Terms unless cancelled before renewal.

10. Data & Privacy
Rider‑level data is governed by separate Rider Terms. Riders are independent users and not covered under these Studio Terms.
The Studio is responsible for ensuring its use of the platform complies with local data protection laws (such as GDPR or CCPA).
A Data Processing Addendum is available upon request.

11. Termination
CicloZone may suspend or terminate access if:
• payments are not made,
• Terms are repeatedly violated,
• the platform is used in a harmful or abusive manner.

Termination does not entitle the Studio to a refund.

12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
